Searcher School LOI Generator is a free tool built by Sunset Coast Partners — an independent sponsor and advisory firm serving searchers and SMB acquirers. The underlying template was provided by Barlow & Williams, PLLC, a law firm that represents searchers and acquirers in the real world. We re-branded it, added conditional sections, and wrapped it in a form so every searcher can start from the same professional baseline their attorney would hand them on day one.

What's in the LOI

The generated document includes the standard sections of a professionally drafted LOI — acquisition structure, purchase price mechanics, due diligence, exclusivity, governing law, confidentiality, termination, and signature blocks. Four sections are legally binding: Exclusivity, Due Diligence, Termination, and Confidentiality. The rest is non-binding framework until you and your attorney finalize a Definitive Agreement.

What we do with your email

We store your email address alongside basic information about the deal (buyer name, seller name, governing state, purchase-price bucket — not the full document).
